Definitions
By "the seller" or "VEDI", we mean the company mentioned above.
By "the buyer" or "the customer", we mean any legal or natural person placing an order via this site.
1. General Provisions - Contractual Scope
The site vedi-express.com is reserved for professionals. VEDI may refuse or cancel any order if there are serious indications that the purchase is made for non-professional purposes. Only these conditions of sale apply to sales via this site. These general terms and conditions apply to the exclusion of all other conditions, even those included on purchase orders from the buyer. Any reference to the buyer's purchase orders in the invoice or other documents is exclusively intended for the customer's convenience. This mention cannot under any circumstances be interpreted as a tacit acceptance of any general purchasing conditions. Unless VEDI expressly agrees in writing, any comments entered by the customer when the order is placed via the internet are excluded from the contractual scope.
The seller reserves the right to modify these general terms and conditions at any time. Nevertheless, current orders remain subject to the conditions applicable at the time the sale was concluded.
Photos, illustrations, colors, and texts associated with products listed on this site are not contractual and therefore cannot engage the seller's liability.
Site users declare that they know and understand the Internet and its limits, particularly its functional characteristics and technical performance, risks of interruption, response times for consulting, querying, or transferring information, and any risks inherent in any connection to the network.
Unless proven otherwise, VEDI's computer records (order validation, emails, confirmations, technical exchanges, proof of payment, delivery notes) constitute proof of the transaction, its content, and its date.
The site vedi-express.com is a site reserved for professionals. By placing an order on the site, the customer declares and acknowledges using VEDI products in a professional context.
2. Price
- Our prices are exclusive of tax and expressed in euros. Only the price excluding VAT is binding between the parties. When a price is communicated including VAT by means of an "incl. VAT" button, the displayed price corresponds to the seller's best estimate of the price including VAT given their knowledge of the user's situation (VAT status of the buyer, destination of the goods, etc.) at the time the price is communicated. This VAT estimate is subject to correction at the end of the order based on the buyer's exact situation and the tax laws applicable to the sale.
- The selling prices of the products on this site are those indicated at the time of order registration.
- In the case of customization of certain ordered products, prices are calculated on the basis of the supply by the customer of professional-quality computer files. Unless otherwise specified in this document, costs inherent in layout, scanning, or any other prepress work represent a paid service billed at EUR 80,- excl. VAT per hour.
- Unless otherwise stated, our product prices do not include delivery costs, which are calculated additionally at the end of the order depending on the destination and/or the desired delivery method.
- In the case of installation by VEDI, the price for the image installation is calculated based on a system designed and installed in accordance with the safety standards used by VEDI. If the customer requires the application of different standards or the performance of work different from that planned by VEDI, VEDI may either adapt the contract price to the requested changes or terminate the contract. In all cases, the customer will hold VEDI harmless for costs incurred by VEDI.
3. Order - Cancellation - Modification
- When registering the order, the customer is required to provide accurate and precise data, particularly regarding the identity of the recipient of the order, information relating to VAT, the delivery address, and the email address where an order confirmation can be sent.
- In the event of cancellation of the order, the customer will be liable for an amount corresponding to the costs already incurred, increased by compensation of 15% of the ordered amount, in accordance with Article 1794 of the Civil Code.
- The right of withdrawal/return without penalty does not apply to products customized or printed by Vedi-Express as these products are made to measure and personalized.
In principle, current orders cannot be modified. However, for minor changes and provided that the progress of the production process allows it, VEDI may exceptionally agree to modify a current order. Only change requests sent via email by the customer to the following address: info@vedi.eu, and accompanied by the relevant order number will be considered. A response will be given at the latest on the following business day.
4. Payment - Invoicing
The various authorized payment methods, as well as the impact of these payment methods on the production lead time, are detailed on the Payment Conditions page.
In the case of installation, payment is made at 70% upon ordering and the balance in full upon installation.
The invoice will be issued to the billing company entered during the order. If an invoice is issued in the name of a third party at the request of the Customer, the Customer and the third party are jointly and severally liable for the payment of the debt to VEDI. It is the customer's responsibility to accurately indicate the corporate name, address, and VAT registration number of the billing company during the ordering process.
In case of a request for a change of billing company after the order, a surcharge of EUR 25,- excl. VAT will be applied for administrative costs. Customers wishing to benefit from intra-community deliveries or a reduced VAT rate must provide all necessary justifications.
The customer undertakes to provide the visuals necessary for the production of their images within 30 business days from the date of the order. Every order will result in invoicing 30 days after its acceptance if the order cannot be executed due to a delay attributable to the customer. If applicable, the invoice will be payable without waiting for production.
All delivered goods remain the property of the seller until full payment of the price by the buyer.
The buyer shall, however, solely bear the risks of loss, damage, or destruction of the delivered item from the departure of the goods toward the indicated delivery address.
5. Delivery - Lead Time - Liability
- Delivery times are always given as an indication and can in no way be considered contractual elements.
They are expressed in business days in Belgium. By business days, we mean the opening days of VEDI (from Monday to Friday, except for public holidays in Belgium and VEDI closure days). - The customer is free to choose their carrier and to collect the goods themselves. By choosing the transport option, the customer validates the choice of carrier made by VEDI and, therefore, agrees to limit VEDI's liability to the carrier's liability towards VEDI. VEDI selects quality transport companies so that shipped packages are delivered on time, in good condition, and at a reasonable price. Nevertheless, packages are transported at the customer's risk, and liability never exceeds that offered by the carrier. Any claim relating to transport must be made to the carrier.
- In most cases, the customer automatically receives the tracking number of their package when it is picked up by the carrier. In all cases, if a problem arises, VEDI-express will provide, upon request, the carrier's contact details and a copy of the shipping note.
- If the customer wishes to organize the transport of their packages themselves, they simply need to choose the "Collection" option at the time of ordering and then send their carrier to collect the package, taking care to provide them with the order number.
- When VEDI undertakes to perform an outdoor image installation, assembly operations may always be postponed without compensation if VEDI judges that the weather forecasts or conditions would make the fulfillment of its mission dangerous. Similarly, if the assembly day planned in this document has to be moved for a reason beyond VEDI's control, it would be rescheduled strictly according to the availability of VEDI's technical service, without necessarily referring to a fixed number of days.
- VEDI's liability is limited, at VEDI's choice, to the repair, reprinting, or replacement of the product recognized as non-conforming, excluding any compensation for indirect damages (notably operating loss, loss of profit, damage to image, internal costs), within the limits authorized by applicable law. This limitation does not apply in the event of fraud or gross negligence by VEDI, nor for personal injury.
- In the event of a delay in delivery to the carrier (manufacturing time), VEDI's liability is limited to a flat-rate compensation of 150 euros or the amount of the actual damage suffered by the customer if it is lower.
6. Warranties
VEDI guarantees its devices against hidden manufacturing defects under normal use. The customer is required to inspect the goods upon receipt. Apparent defects, missing items, and immediately detectable non-conformities must be notified in accordance with the "Complaints" article; otherwise, the delivery is deemed accepted for these defects. For hidden defects, the customer notifies VEDI within a reasonable time after discovery, providing all useful evidence; intervention gives rise, as a priority, to repair, reprinting, or replacement of the only element recognized as defective, excluding indirect damages, within the limits authorized by law.
VEDI guarantees the color fastness of printed images for 2 years on most printing media. This warranty is reduced to 6 months for printing on 110gr polyester media (flag).
VEDI undertakes to handle each warranty claim submitted via this form with particular care and goodwill and to provide a complete response within 24 business hours.
7. Intellectual Property
The customer guarantees that they possess the intellectual property rights of the elements they provide (visuals, logos, slogans, etc.), necessary for the reproduction of the image, as well as any authorizations required for its placement. They remain solely responsible for the payment of taxes generated by the realization of their project.
8. Processing of your personal data
Respect for your personal data is important to VEDI. We process them in accordance with the law, in a lawful, fair, and transparent manner. The personal data you communicate to us will not be used for a purpose other than sending information about your orders and other information about our products and services without your prior consent, except where processing is necessary for compliance with a legal obligation or the execution of a contractual relationship. The data controller is VEDI, a division of VTS s.a., with its registered office located at rue Blériot 9, 6041 Gosselies (Belgium). Under no circumstances will this data be transferred to or shared with third parties without your prior consent, except for subcontractors involved in processing your data. You have the right to access and have your data corrected or deleted using the email address below. 9. Complaints - Dispute
To submit a complaint to VEDI, fill out the complaint form.
Prepare the following elements beforehand:
• Brief description of the problem;
• Relevant order number;
• Photos of the possible defect if the problem encountered can be illustrated.
Complaints concerning incomplete orders or apparent defects must be submitted to VEDI at the latest within 3 days after receipt of the goods.
This implies that the customer unpacks the products and checks their quality, including the print quality, within the 3-day period.
After this period, VEDI reserves the right to consider the complaint inadmissible.
VEDI undertakes to process any complaint duly filed via the appropriate form within 24 business hours from its receipt.
Defects in part of the delivered goods do not entitle the buyer to a claim on the entire delivery. Thus, a slight difference in color is not considered a defect. Similarly, color differences compared to a previous order printed by VEDI are not considered a defect due to the technical constraints inherent in printing processes.
In case of dispute, only Belgian law is applicable and only the courts of Charleroi (Belgium) have jurisdiction.
10. Absence of Right of Withdrawal as this site is reserved exclusively for professionals acting in a professional context
In accordance with the Code of Economic Law, any consumer, as defined in Article I.1, 2°, who purchases goods or services for non-professional purposes is entitled to the legal cooling-off period of 14 calendar days. As indicated in Article 1 of these general conditions, the site vedi-express.com is a site reserved for professionals. By placing an order on the site, the customer declares and acknowledges using VEDI products in a professional context, which places their possible orders outside the scope of the specific consumer protection measures provided for in the Code of Economic Law. Consequently, the customer waives the right to invoke consumer protection measures even if it were proven that they had made a false declaration.
